BTB Buyer Guide

Business Purchase Closing Costs and Cash Needs

A buyer who budgets only for the down payment can underestimate the cash required to complete and stabilize an acquisition.

BTB guide · Updated September 30, 2026

What buyers should understand

Depending on the transaction, additional cash needs can include legal and accounting work, lender or third-party costs, deposits, licenses, insurance, inventory, equipment or repairs, working capital, transition expenses and reserves. Some amounts may be financed, negotiated, included in the price or not applicable at all.

Practical example

Build a sources-and-uses view before committing to the deal. Separate purchase consideration from transaction expenses and post-close operating cash so you can see the true funding gap instead of assuming every cost is covered by the acquisition loan.
